1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and DroneScale, Inc. ("DroneScale," "we," "us," or "our") concerning your access to and use of the dronescale.com website (the "Site"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Site.

We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. 6. Disclaimer of Warranties

THE SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

DroneScale does not warrant that the Site will function uninterrupted, secure, or available at any particular time or location, that any defects or errors will be corrected, or that the Site is free of viruses or other harmful components.

7. Limitation of Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL DRONESCALE, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

8. Indemnification

You agree to defend, indemnify, and hold harmless DroneScale and its affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site.

9. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the state and federal courts located in Delaware for the purpose of litigating all such claims or disputes.

10. Dispute Resolution

Any dispute arising from these Terms or the Site shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall take place in Delaware, and judgment on the arbitration award may be entered in any court having jurisdiction.

YOU AGREE TO WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.

11. Export Control

You acknowledge that the products and technology described on the Site may be subject to U.S. export control laws and regulations. You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce and sanctions programs administered by the U.S. Treasury Department's Office of Foreign Assets Control.

12. Government Rights

If you are a U.S. Government entity, you acknowledge that the Site and any related documentation are "Commercial Items" as defined in FAR 2.101 and are provided with only those rights as are granted to all other end users pursuant to these Terms.

13. Termination

We may terminate or suspend your access to the Site immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Site will immediately cease.

14. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

15. Waiver

No waiver by DroneScale of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition.

16. Entire Agreement

These Terms and our Privacy Policy constitute the sole and entire agreement between you and DroneScale regarding the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.

17. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Site after such modifications constitutes your acceptance of the updated Terms.
